Terms of Service

These Terms of Service govern access to and use of 2D Prep, a software service operated by Clotho LLC. By using the service, you agree to these terms on behalf of yourself and, if applicable, the business you represent.

Use of the service

Customers may use 2D Prep for lawful business operations, including shipment receiving, inventory sync, barcode workflow management, prep operations, storage workflows, cross-dock workflows, label generation, client OMS activity, and related warehouse or prep-center operations. Customers are responsible for the accuracy, legality, and completeness of the data they upload, import, connect, or otherwise process through the service.

Accounts and access

Customers are responsible for safeguarding login credentials, assigning access appropriately, and monitoring users operating under their account. The account owner, main user, or authorized warehouse or prep service provider may control permissions, visibility, and operational access for users associated with the workspace. Unauthorized access, misuse, interference, or attempts to disrupt the service are prohibited.

Payments

Subscription fees are billed according to the selected plan and billing cycle. You authorize us and our payment providers to charge the payment method associated with your account for subscription fees and any other agreed charges. If payment fails or remains overdue, we may suspend or limit access until payment is resolved.

Cancellation and no prorated refunds

You may cancel your subscription at any time. Cancellation will stop future renewal billing, but your current paid term will continue until the end of the active billing period unless we state otherwise in writing. Subscription fees, setup fees, and other charges are non-refundable except where required by law. We do not provide prorated refunds, partial-month refunds, or credits for unused time after cancellation.

Third-party services and hosting

Certain parts of the service may rely on third-party providers, including hosting and infrastructure providers such as Render, payment processors, communications providers, and integrations selected by the customer. We are not responsible for outages, policy changes, or service interruptions caused by third-party systems outside our reasonable control.

Availability and service changes

We work to keep the service reliable, but we do not guarantee uninterrupted availability. Maintenance, third-party outages, or external API changes may affect service operation. We may update, improve, modify, suspend, or discontinue parts of the service from time to time.

Customer data and intellectual property

Customers retain their rights in the business data they submit to the service. We retain all rights in the software, site content, branding, designs, and related intellectual property used to provide 2D Prep. You may not copy, reverse engineer, resell, or create derivative works from the service except as permitted by law or by our prior written consent.

Termination

We may suspend or terminate access if these terms are violated, if payment obligations are not met, if use of the service creates security or legal risk, or if continued service is not commercially reasonable.

Limitation of liability

To the fullest extent permitted by law, Clotho LLC is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, or data arising out of or related to the service. The service is provided on an "as is" and "as available" basis to the maximum extent permitted by law.

Changes to these terms

We may update these terms from time to time. Continued use of the service after updated terms become effective constitutes acceptance of the revised terms.
